Mortgage Banker BWE Acquired By Bayview, Morgan Family
Full-service commercial and multifamily mortgage banking company BWE has agreed to be acquired with the company's leadership retaining a minority stake in the business.
A Bayview Asset Management fund and Springmont Capital, the private investment office of the family that owns Morgan Properties, agreed to purchase the majority interest in BWE, according to a release.
BWE's executives will remain a significant minority owner in the deal, for which specific terms, including the valuation and size of the stake, weren't disclosed.
“BWE has achieved strong growth in recent years and sought strategic partners who can further strengthen our offerings," BWE CEO and President DJ Effler, who is staying on as leader, said in a statement. "Our new partnership positions BWE for long-term expansion and enables us to continue bringing our clients the best capital solutions."
The Ohio-based firm connects borrowers to lenders to refinance, develop and invest in commercial and multifamily real estate.
BWE recently secured financing for assisted living and memory care facility Aviva in Minnesota and $130M in first-mortgage financing for an apartment and townhome community in New Jersey, according to its website.
This is the second such acquisition for Coral Gables, Florida-based Bayview — a credit-focused hedge fund with about $44.7B in assets under management — in the past year, after purchasing mortgage lender Guild Holdings in November. It purchased BWE through its Bayview MSR Opportunity Master Fund.
The Morgan family owns and operates more than 100,000 apartments across the country through Morgan Properties, which is based outside of Philadelphia.
Springmont has long-term investments in financial services, technology and sports, including minority stakes in the NFL's Washington Commanders and MLB's Philadelphia Phillies.
