$3.3B REIT Merger: Global Net Lease Acquires American Realty

Global Net Lease is set to buy all of non-traded REIT American Realty Capital Global Trust II's outstanding common stock in a $247M deal.

The combined entity will keep the Global Net Lease name and trade on the NYSE with a combined value of $3.3B, CoStar reports. And the combined portfolio will contain an asset base of 345 properties across seven countries.

The agreement grants Global II shareholders 2.27 shares of GNL for each share of Global II common stock they own, meaning Global II shareholders will own around 14% of the combined company. But the deal isn’t set in stone yet—the merger allows Global II to solicit alternative proposals for the next 45 days. [CoStar]
